Terms of Service

These terms are a contract between you and BlackHoodie LLC (“BlackHoodie”, “we”, “us”), a Connecticut limited liability company based in North Haven, Connecticut. They govern your use of BlackHoodie Command Center (the “Service”). We have written them in plain English on purpose — if anything is unclear, ask us at info@blackhoodie.io before you rely on it.
The service
BlackHoodie Command Center lets your business deploy AI agents that converse with your customers over channels such as email and chat. You configure the agents, connect your channels and data, and oversee what the agents do from a shared workspace. The Service is provided on a subscription basis and includes usage metering, human-review controls, and audit tooling.
By creating an account or using the Service you agree to these terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and “you” means the company.
Your account
You are responsible for your account and workspace: keep your credentials secure, keep your contact email current, and make sure the people you invite to your workspace are authorized to act for you. Activity that happens under your workspace — including messages your agents send — is your responsibility. Tell us promptly at info@blackhoodie.io if you suspect unauthorized access.
Acceptable use
The short version: do not use the Service to spam people or break the law. In particular you agree that:
- You will only message people you have a lawful basis to contact. For outreach, that means the recipients gave consent or you otherwise satisfy the laws that apply to you (for example CAN-SPAM, TCPA, GDPR, and equivalents).
- You will not circumvent the opt-out handling built into the product. When a recipient opts out, the Service enforces it, and you must not work around that.
- You will not use the Service for unlawful, deceptive, or harassing content; to impersonate others; or to send malware or phishing.
- You will not probe, overload, or interfere with the Service, resell it without our written agreement, or attempt to extract our source code.
We may suspend agents or accounts that violate this section, with notice where practical.
Plans, billing, and cancellation
Paid plans run from $18 to $499 per month, plus optional usage packs. Billing is handled by Stripe. Subscriptions renew automatically each billing period until you cancel.
You can cancel any time through the billing portal in Settings. Cancellation takes effect at the end of the current billing period — you keep access until then, and we do not issue prorated refunds for partial periods unless the law where you live requires it. Usage packs are consumed when used and are non-refundable once consumed.
If we change prices, the change applies from your next billing period and we will give you advance notice by email or in the product.
Usage limits and caps
Each plan includes metered usage (for example, agent messages and model tokens). When you reach a cap, the Service may pause or throttle your agents until the next period or until you add a usage pack. Caps exist to keep your bill predictable and the platform stable; we may adjust technical limits to protect the Service, and will flag material reductions in advance.
AI-generated output
Your agents generate output using third-party AI models. AI output can be inaccurate, incomplete, or inappropriate for your context, even when it sounds confident. You are responsible for the messages your agents send to your customers. The Service provides human-review modes and approval controls — use them where the stakes warrant it, and do not rely on unreviewed agent output for legal, medical, financial, or other professional advice.
Your content and data
You own the content you bring to the Service — your contacts, conversations, agent instructions, and connected data. You give us the limited license needed to host, process, and transmit that content to run the Service (including sending it to the AI providers and sub-processors listed in our Privacy Policy). We do not sell your data and we do not train models on your customer data. Export and deletion tools are available in Settings.
Termination
You can stop using the Service and delete your workspace at any time. We may suspend or terminate your access if you materially breach these terms, if required by law, or if your usage creates risk for the platform or other customers — with notice and a chance to fix the problem where that is reasonable. After termination, you can export your data for a limited window before it is deleted per our retention schedule.
Disclaimers
The Service is provided “as is” and “as available”. We work hard to keep it fast and reliable, but we do not warrant that it will be uninterrupted, error-free, or that AI output will be accurate. To the maximum extent allowed by law we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent allowed by law, neither party is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits or lost data. Our total liability arising out of the Service is capped at the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in this section limits liability that cannot be limited by law, your payment obligations, or your breach of Section 03.
Governing law
These terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Connecticut, and both parties consent to that venue.
Changes to these terms
We may update these terms as the Service evolves. For material changes we will notify you by email or in the product at least 14 days before they take effect. Continuing to use the Service after a change takes effect means you accept the updated terms; if you do not accept them, cancel before the effective date.
